1. Acceptance of Terms

By accessing or using Formpli ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Formpli. Please read them carefully before using the Service.

2. Description of Service

Formpli provides cosmetic ingredient regulatory data lookup and compliance screening tools for regulatory consultants and cosmetic manufacturers. The Service includes:

• Ingredient screening against US (FDA), Canada (Health Canada), and EU regulations
• Product classification tools
• Compliance report generation
• Client and project management (Pro tier)
• Document management and storage

4. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the confidentiality of your account credentials
• Promptly update your information if it changes
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

You must be at least 18 years old to create an account and use the Service.

5. Subscription and Payments

5.1 Free and Pro Tiers

The Service offers a free tier with limited features and a Pro subscription tier ($149/month) with full access. Feature availability may change; current features are described on our pricing page.

5.2 Billing

• Pro subscriptions are billed monthly in advance
• Payment is processed securely through Stripe
• Subscriptions automatically renew unless cancelled
• Prices are in USD and exclude applicable taxes

5.3 Cancellation and Refunds

• You may cancel your subscription at any time through account settings
• Cancellation takes effect at the end of the current billing period
• No refunds for partial billing periods, except as required by law
• We may offer refunds at our discretion for technical issues

6. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose
• Attempt to reverse-engineer, decompile, or hack the Service
• Scrape, crawl, or automated mass-download data from the Service
• Redistribute data from the Service in bulk without authorization
• Misrepresent Formpli results as official regulatory certifications
• Share account credentials or allow unauthorized access
• Upload malicious files or content
• Interfere with the Service's operation or overload our systems
• Use the Service to compete with or create a similar service

7. Data Sources and Accuracy

Regulatory data is sourced from publicly available government databases. We make reasonable efforts to keep data current but make no warranties regarding completeness, accuracy, or timeliness. Data sources include:

• EU: EC 1223/2009 Annexes II-VI via COSING database
• US (Federal): FDA 21 CFR Parts 73, 74, 82, 700-740
• US (California): Proposition 65 Safe Drinking Water and Toxic Enforcement Act
• Canada: Health Canada Cosmetic Ingredient Hotlist
• South Korea: MFDS prohibited and restricted ingredient lists
• Japan: MHLW Standards for Cosmetics (Appendix 1-4)
• Taiwan: TFDA prohibited, restricted, colorants, and preservatives lists
• Australia: TGA Standard for the Uniform Scheduling of Medicines and Poisons (SUSMP)
• GCC (UAE, Saudi Arabia, Qatar, Oman, Kuwait, Bahrain): Based on EU 1223/2009 + GSO 1943:2024 Halal restrictions
• ASEAN (SG, MY, TH, PH, ID, VN): ASEAN Cosmetic Directive (ACD) Annexes
• China: NMPA IECIC + STSC substance tables (CAS-based)
• Brazil: ANVISA RDC 528-530/2021 (prohibited, restricted, preservatives, colorants, UV filters)
• United Kingdom: Retained EU Regulation 1223/2009 Annex II-VI via legislation.gov.uk (OPSS regulatory body)

Regulations change frequently. Always verify current requirements with official sources.

7a. Data Coverage Transparency

Coverage quality varies by country. We transparently indicate coverage levels in the screening interface:

• High Coverage: INCI-matchable ingredients are ≥90% covered. Remaining gaps are non-INCI names (industrial chemicals, local-language-only names) that fall outside standard cosmetics ingredient nomenclature.
• Medium Coverage: INCI match rate 70-89%. Results are useful but should be supplemented with manual verification.
• Low / Partial Coverage: Source data has structural limitations (e.g., Chinese-only names, PDF-only sources). Results may be incomplete.

Raw match rates may appear low (e.g., 27% for Korea) because official source lists contain many non-INCI names (Korean, Chinese, botanical Latin). When measured by INCI-matchable names only, the effective coverage is significantly higher (e.g., Korea INCI-only: 95.3%, EU INCI-only: 100%).

Coverage indicators are visible in the screening results for each country. We recommend always consulting official regulatory sources for final compliance decisions.

8. Intellectual Property

The Service, including its design, features, code, and original content, is the property of Formpli and protected by intellectual property laws.

• Regulatory data from public government databases remains in the public domain
• You retain ownership of data you upload (ingredient lists, documents, etc.)
• You grant us a license to use your data to provide the Service
• Reports generated for your use may be shared with your clients

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORMPLI AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM:

• Your use of or inability to use the Service
• Any errors, inaccuracies, or omissions in regulatory data
• Product seizures, fines, recalls, or regulatory actions
• Business losses, lost profits, or reputational damage
• Unauthorized access to your account or data

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Formpli, its officers, employees, and partners from any claims, damages, losses, or expenses arising from:

• Your violation of these Terms
• Your use of the Service
• Your violation of any third-party rights
• Products you manufacture, sell, or export

11. Termination

• You may stop using the Service and close your account at any time
• We may suspend or terminate your access for violation of these Terms
• We may discontinue the Service with 30 days notice
• Upon termination, your right to use the Service ceases immediately
• You may request export of your data before account closure

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in court.

13. Changes to Terms

We may update these Terms at any time. Material changes will be notified via email or through the Service. Continued use after changes constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
